THE VISLA INNOVATORS CONTEST RULES

Visla Inc. ("Visla") is seeking to recognize the great work of those using Visla to produce outstanding video content by establishing this contest to identify The Visla Innovators (the "Contest"). We’re seeking your help in nominating the video that you think deserves this recognition, and enabling the person who created the video to win a super prize!

  1. TIMING: The Contest begins on February 5th, 2024 at 12:00 am Pacific Standard Time (“PST”) and ends on February 29th, 2024 at 11:59 p.m. PST (the “Contest Period”).

  2. HOW TO NOMINATE A VIDEO: To nominate a video for the contest, you can submit up to three videos. Simply fill out a form where you'll provide details about the video, its creator, the purpose behind it, and how it was made. Make sure to submit the video using a publicly-accessible Visla link within the Contest Period.

  3. VIDEO ELIGIBILITY: A video must have been created using Visla with minimal use of other editing or production tools. Visla shall have sole discretion in evaluating whether the video creator utilizes editing or other production tools that disqualify a video for consideration. The nominated video must be publicly accessible without any requirement for providing personal information or creating an account, and submitted via a Visla Sharing Link. The creator and content of the video must comply with Visla's Terms of Service and Acceptable Use Policy. Visla reserves the right to disqualify any video at its sole discretion.

  4. VIDEO CREATOR ELIGIBILITY: The Contest winner must be an individual age 18 or older during the Contest Period who has produced the video selected by the judges (the "Creator"). Employees and contractors of Visla, and the judging panel and their respective immediate families, and those living in the same household, are not eligible to win. The potential winning Creator will be required to complete and sign a Contest Prize Validation Agreement and Release in accordance with Visla's requirements.

  5. JUDGING: Judges designated by Visla will evaluate each nominated video based on subject matter, relevance to the topic of the video, emotional reaction elicited by judges and viewers, and production value. Each judge will award a score for each of these 4 factors, totaling a maximum score of 20. The highest-scoring video will win the prize. In the event of a tie, the judges will re-score the tied videos.

  6. PRIZE(S): The Contest winner will receive a prize package of Shure MV7 Microphone and TableTop Stand. The total value of the prize will be approximately $300 USD, subject to eligibility requirements. In the event that Visla is unable to ship the prize to the winner's location, a cash equivalent will be provided instead. Visla may award additional prizes at its discretion. Taxes on prizes are the sole responsibility of the winner.

  7. WINNER SELECTION: Winners will be selected based on the judging criteria. Visla will contact the Creator of the winning video by email using information obtained from the nomination, no later than March 8th, 2024. The potential winning Creator must respond and complete the required Agreement within a specified time frame.

  8. VIDEO AND CREATOR RIGHTS: Each nominator represents they are either (i) the holder of all rights to the nominated video, including copyright, and can grant Visla rights to publicize and display the video for marketing purposes in connection with this Contest, or (ii) have obtained permission from the video's creator to provide their name and email to Visla.

  9. LIMITATIONS ON LIABILITY: Visla and its affiliates, subsidiaries, advertising and promotional agencies, and all officers, directors, shareholders, employees, and agents are not responsible for any errors, technical malfunctions, failures, omissions, interruptions, deletions, or defects of any network, computer online system, equipment, servers, providers, or software, or any injury or damage related to the Contest. Proof of submission is not proof of receipt. False, fraudulent, or deceptive actions render videos ineligible.

  10. INDEMNITY: Anyone who nominates a video or whose video is chosen as a winner agrees to protect and support Visla, and all related officers, directors, employees, and agents against any legal actions, claims, or costs that come up because of how they use the prize, any breaking of these rules, or any false statements they make in their video nomination or in the Agreement.

  11. DISCLOSURE AND RELEASES: This Contest is not sponsored, endorsed, or administered by social platforms like X/Twitter, Instagram, Facebook, TikTok, SnapChat, or LinkedIn. Participants release Visla and these platforms from liability for any loss, harm, damage, injury, cost, or expense related to the Contest, prize possession, acceptance, use, or Contest-related activities.

  12. INFORMATION; PRIVACY AND PUBLICITY: Participants agree that personal data provided to Visla for the Contest may be processed, stored, and used for Contest purposes and will be maintained per Visla’s Privacy Policy. Participants agree to the transmission, processing, and storage of their data in the U.S. for Contest purposes. Participants have the right to access, review, rectify, or cancel any personal data held by Visla in connection with the Contest.

    1. For EU residents: The data controller is Visla, with data collected for Contest administration. Personal data will be held in the U.S., and EU residents have a right of access to and withdrawal of their data.

  13. CONDITIONS: Visla’s decisions are final and binding in all Contest matters. Potential winners must comply with the Rules and fulfill all prize receipt requirements, including an Agreement execution. Visla is not responsible for technical, hardware, or software failures or lost connections that may limit Contest participation. Visla may modify, cancel, or suspend the Contest due to unforeseen circumstances. Disqualification is at Visla's discretion for rule violations or unfair conduct.

  14. GOVERNING LAW; FORUM AND RECOURSE: The Contest is governed by the laws of the State of California, consistent with Federal Arbitration Act, without giving effect to any principles that provide for the application of the law of any other jurisdiction.

  15. ARBITRATION: If any issues arise regarding The Contest, they will be resolved according to the procedures outlined in Section 18, Dispute Resolution, of the Visla Terms and Conditions.
